Merger of Cloud Companies with Offices in Ukraine: SoftwareOne Acquires Crayon
Swiss company SoftwareOne has announced the completion of its voluntary tender offer to acquire shares in Norwegian cloud solutions provider Crayon. The news was shared in an official press release. According to DOU, both companies have offices in Ukraine.
- The merged company will operate under the SoftwareOne brand and will employ around 13,000 people in more than 70 countries, including Ukraine. During the transition, the Crayon brand will remain active to ensure continuity, consistency, and recognition for customers, partners, and employees.
- The combined revenue of the two companies is estimated at around CHF 1.6 billion ($2.02 billion).
- Once the deal closes, the integration process will begin, covering the implementation of a shared operating model, alignment of the go-to-market strategy and solution portfolio, IT systems integration, and consolidation of legal structures in overlapping countries. Retaining customers and talent remains a top priority.
- The legal headquarters of the combined company will stay in Stans, Switzerland, with Oslo serving as a key hub for sales and other operations.
- For SoftwareOne, this is a strategic acquisition expected to generate CHF 80–100 million ($100–125 million) in annual cost savings within 18 months of closing. Financing is secured through bridge loans of about CHF 700 million ($882 million) to cover the cash portion of the transaction (CHF 515 million, including the mandatory tender offer) and to refinance Crayon’s debt.
- Secondary listing and trading of SoftwareOne shares on Euronext Oslo Børs will begin on July 3, 2025. SoftwareOne also plans to carry out a mandatory buyout of the remaining Crayon shares, followed by Crayon’s delisting from Euronext Oslo Børs, expected later in July 2025.
